By accessing or using the Outvid platform ("Service"), operated by Outvid Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Outvid is an AI-powered video outreach platform that enables users to create AI clones of themselves to send personalized video messages at scale. The Service includes, but is not limited to, AI clone creation, video generation, prospect research, email campaign management, and analytics.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscriptions and Payments

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

We reserve the right to modify our pricing at any time. Changes to subscription fees will take effect at the start of the next billing cycle. We will provide reasonable notice of any price changes.

5. AI Clone Usage

By creating an AI clone using the Service, you grant us a limited license to use your likeness, voice, and provided training materials solely for the purpose of generating video content on your behalf. You represent and warrant that you have the right to use any likeness or voice recordings you submit.

You may not create AI clones of other individuals without their explicit written consent. You are solely responsible for ensuring that your use of AI clones complies with all applicable laws and regulations, including those related to identity, consent, and impersonation.

6. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages in violation of applicable anti-spam laws
• Impersonate any person or entity without their consent
• Distribute malicious content, malware, or phishing attempts
• Harass, threaten, or intimidate any individual
• Violate any applicable local, state, national, or international law
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any deceptive, fraudulent, or illegal purpose

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Outvid Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit, upload, or create using the Service, including scripts, prospect data, and generated videos. You grant us a limited, non-exclusive license to use such content solely to provide and improve the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. Third-Party Integrations

The Service may integrate with third-party services such as email providers, CRM systems, and video hosting platforms. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Outvid Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at support@outvid.ai. Upon termination, we will delete your data in accordance with our Privacy Policy, unless retention is required by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
